OFFICIAL RULES

No Purchase Necessary to Enter or Win the SmartStop™ Self Storage "Sing It Smart" Video Jingle Contest ("Contest"). A purchase will not increase your chances of winning. Entry constitutes acceptance of these Official Rules:

PROMOTION TIMING:

The Contest begins on September 23, 2011 at 12:00 a.m. ET and ends on November 1, 2011 at 11:59 p.m. ET ("Contest Period"). Video submissions will be accepted only during the Contest Period. At the conclusion of the Contest Period, Strategic Storage Holdings, LLC, d/b/a SmartStop™ Self Storage ("Sponsor") will post the finalists' videos on the SmartStop Facebook page on or around November 4, 2011. All videos will be reviewed for content before being posted on Facebook. Videos submitted may or may not be posted on Facebook, in the sole and absolute discretion of the Sponsor. The Sponsor shall have absolutely no obligation to give feedback or reasoning for why any video is not posted on Facebook. The Sponsor shall have the sole right to reject or remove a video from its Facebook page or website at any time.

From 11/4/11 at 12:00 a.m. ET to 11/17/11 at 11:59 p.m. ET, the public may vote on those videos posted on the Facebook by visiting www.facebook.com/SmartStopSS and following the voting instructions (the "Voting Phase"). Limit: Each user may vote only one (1) time per day for one or more separate videos during the Voting Phase. Multiple votes for a single video entry submitted by the same verified e-mail address on the same day will result in none of those votes being counted. On or about November 21, 2011, the Sponsor will choose and announce one (1) Grand Prize Winner and two (2) Runners-Up.

ELIGIBILITY:

The Contest is open only to "unsigned" singers, bands, or groups that consist of no more than eight (8) members (collectively, the "Entrant") who are all legal residents of the 48 contiguous United States and the District of Columbia, age 18 or older. For the purpose of the Contest, an Entrant cannot be signed by a publishing company, record label or other entity to render recording or musical performance services and/or have agreed to provide rights in and to musical compositions of recordings to such company, label or entity. Singers or band that write, produce and release music on their own and are self-publishing may be considered unsigned bands, as the Sponsor determines in its sole discretion.

Employees, officers and directors of the Sponsor, and their respective parents, affiliates, subsidiaries, distributors, contractors and advertising and promotion agencies and their immediate families and/or those living in the same household, are not eligible to enter or win in this Contest. Void in Alaska, Hawaii, and where prohibited by law. The Contest is subject to all applicable federal, state and local laws.

CONTEST OBJECTIVE

The objective of the Contest is for each Entrant to write, perform and record a 30 second to one (1) minute video of a song or jingle original to the Entrant (a "Video"). The song must reflect the SmartStop™ brand and incorporate its tagline, "the smarter way to store." Guidelines for the SmartStop™ brand are outlined below in the section called "Criteria".

HOW TO ENTER THE CONTEST

Entrants must register at the SmartStop™ Facebook page www.facebook.com/SmartStopSS to be entered into the Contest. The submission process will require, at a minimum, the Entrant's full name and valid email address. Entrants will be asked to review and accept these Officials Rules and then will be able to submit their Video.

Videos may be uploaded to SmartStop™ on its Facebook page. No videos will be posted to Facebook until they have been reviewed and approved by the Sponsor.

Additional information about the Sing It Smart! contest, including a promotional video, the official rules and background on the judges, is available on the company website at www.smartstopselfstorage.com/singitsmart.

If the Entrant is a band or group, it must choose one (1) member to submit the Video on its behalf. That individual will be the contact person and authorized to make all decision on behalf of the band with respect to this Contest.

During the Contest Period, Entrants must visit the SmartStop™ Facebook page and follow the instructions provided to complete the entry form and upload the Video (the entry form and Video and other information provided by an Entrant shall hereinafter collectively be referred to as the "Submission"). Submissions must be received by November 1, 2011 at 11:59 p.m. ET. Submissions that do not address the requirements set forth in these Official Rules will not be eligible for the Contest. Proof of sending does not constitute proof of actual receipt by the Sponsor for purposes of these Official Rules.

ALL SUBMISSIONS (INCLUDING ALL MATERIAL EMBODIED THEREIN) SUBMITTED TO THE SPONSOR, SHALL AUTOMATICALLY BECOME THE SOLE AND EXCLUSIVE PROPERTY OF THE SPONSOR IMMEDIATELY UPON SUBMISSION. Each Entrant, as a condition of participation in the Contest, hereby grants the Sponsor the exclusive, royalty-free, perpetual, irrevocable and worldwide right to edit, adapt, modify, reproduce, publish, distribute, and otherwise use (unless prohibited by applicable law) the Video (including all material embodied therein) in any way or in any media now or hereafter known for trade, advertising, promotional, or other purposes as the Sponsor determines, in its sole and absolute discretion, without further notice or compensation to the Entrant or any other third parties. Nothing herein shall be construed to require the Sponsor to publish, distribute or in any way use the Video (or any of the material embodied therein) should the Sponsor in its sole discretion decline to do so. Releasees (as defined below) are not responsible for any unauthorized third party use of any Submission. Releasees do not guarantee that any Submission made will be posted or used in any way.

By making a Submission, each Entrant acknowledges and agrees that the Sponsor may obtain many Submissions under this Contest and that such Submissions may be similar or identical in sounds, theme, idea, format or other respects to others submitted under this Contest and/or other promotions staged and/or sponsored by the Sponsor, and waives any and all claims Entrant may have had, may have, and/or may have in the future that any similar Submission, Video and/or other works accepted, reviewed and/or used by the Sponsor (or its designees) may be similar to Entrant's Submission. Each Entrant acknowledges and agrees that the Sponsor does not have now, nor shall it have in the future, any duty or liability, direct or indirect, vicarious, contributory, or otherwise, with respect to the infringement or protection of any copyright in and to any Entrant's Submission.

The Sponsor will collect personal data from Entrants, and this information may be used for the purposes of administering the Contest, publicizing the Contest, and other Contest purposes that benefit the Sponsor. Unless prohibited by law, participation in the Contest constitutes each Entrant's consent for the Sponsor to use the Entrant's name (or username), age, hometown, and/or state of residence for Contest or Contest purposes in any media now known or later developed, without payment or consideration to the Entrant. By entering the contest, Entrants agree to receive occasional emails from the Sponsor about additional contests, special offers, company news and other announcements, which Entrants can opt-out of at any time. This information will not be shared or sold to any third parties for any purpose.

SUBMISSION REQUIREMENTS

Each Video must be 30 seconds to one (1) minute in length. The Video must contain the words "SmartStop" and "self storage", as well as promote the Sponsor and its affiliates in a positive light. It also must incorporate the Sponsor's tagline, "The smarter way to store." It also should reflect the SmartStop™ brand as outlined below in the section called "Criteria".

The Submission must be the Entrant's own original work, created solely by the Entrant; must not have been previously published or distributed by any record label (and may not be subject to the rights of any third parties), may not have won any previous awards; and must not infringe the copyright, trademark, privacy, publicity, or other personal or proprietary rights of any person or entity.

Submissions that are lewd, obscene, pornographic, disparaging, defamatory, libelous, or Submissions that otherwise contain inappropriate content or objectionable material may not be submitted and may be removed at any time in the Sponsor's sole and absolute discretion.

The Video cannot be dangerous or unsafe to make or produce, or include activities that are dangerous, unsafe, or present unreasonable risk of harm to person or property, or suggest or imply to any person to undertake any dangerous, unsafe or unduly risky activity as deemed solely by the Sponsor.

The Submission must not contain any personally identifiable information of any person other than the Entrant. THE ENTRANT IS RESPONSIBLE FOR OBTAINING PERMISSION TO USE THE PICTURE, IMAGE, VOICE AND/OR LIKENESS OF ANY THIRD PARTIES SHOWN IN THE VIDEO. The Sponsor may request that any such third parties sign a waiver and release prior to the posting of the Video on Facebook or the granting of any prize. Should the Entrant include personally identifiable information about the Entrant in a Submission, the Entrant acknowledges and agrees that such information will be disclosed publicly and the Entrant will be solely responsible for any consequences thereof.

The Video may not in any other way violate applicable laws and regulations. Any Video in violation of any of the requirements and restrictions in these Official Rules will be void. By submitting a Video in the Contest, each Entrant represents and warrants that these requirements have been met. Failure to satisfy these requirements, as determined in the Sponsor's sole and absolute discretion, may result in ineligibility with respect to all Videos submitted by or on behalf of that Entrant.

Each Entrant may submit only one (1) Video. Entrants may not enter the contest with multiple email addresses or under multiple identities. Incomplete and/or duplicate Submissions are not permitted and will be void. The use of any device to automate the entry process is prohibited, and any such Submissions shall be void. Submission of more than one (1) Video by or on behalf of the same Entrant or use of any device or artifice to circumvent these Official Rules will result in ineligibility with respect to all Videos submitted by or on behalf of that Entrant.

CRITERIA

Eligible Submissions will be evaluated based on the following criteria:

  1. Reflective of the SmartStop™ Self Storage Brand*
  2. Originality
  3. Creativity of presentation
  4. Song quality
  5. Suitability of the Video for future advertising and promotion purposes
  6. Entertainment value

JUDGING

There will be three (3) rounds of judging: Round 1, Round 2 and Round 3.

Round 1: Judges selected by the Sponsor will evaluate eligible Submissions based on the criteria above and select those that will advance to Round 2 as finalists, subject to verification of eligibility and compliance with these Official Rules (each, a "Finalist").

Round 2: Finalists' Submissions will be featured at on the contest page on Facebook between 12 a.m. ET on November 4, 2011 and 11:59 p.m. ET on November 17, 2011 (the "Voting Period"). During the Voting Period, individuals who are at least 18 years of age will be invited to select their favorite Submission. There is a limit one (1) vote per person and per email address per day during the Voting Period. Votes received from any person or email address in excess of this daily limitation will be void. Finalists are prohibited from obtaining votes by any fraudulent or inappropriate means, including, without limitation, offering prizes or other inducements to the public, as determined by Sponsor in its sole and absolute discretion. Use of script, macro or any automated system to vote or with the intent to impair the integrity of the voting process is prohibited and all such votes will be void.

Round 3: The Submissions of the three Finalists that receive the highest number of votes will be judged by the Sponsor to determine the Grand Prize winner, and two (2) runners up (the Grand Prize winner may or may not be the Entrant receiving the highest number of votes). The Sponsor reserves the right not to award these prizes if, in its sole and absolute discretion, it does not receive a sufficient number of eligible and qualified Submissions.

Judges' and Sponsor's decisions are final and binding.

NOTIFICATION OF FINALISTS

The Sponsor will reasonably attempt to contact each Entrant chosen as a Finalist (including all band/group members, if applicable) by mail, telephone or email address provided on the entry form. Each Finalist will be required to execute and return an Affidavit of Eligibility and Liability and, unless prohibited by law, a Publicity Release ("Affidavit/Release) as well as any other documents which may be required by the Sponsor, all of which must be completed and/or received fully-executed within three (3) business days of the date printed on the notification or such Entrant may be disqualified. Finalists acknowledge that the Sponsor or its designees may conduct a background check and understand that no further notice is required to be provided to them by Sponsor, and that they may be disqualified based on the results.

NOTIFICATION OF WINNERS

The Sponsor will reasonably attempt to notify Prize Winners by mail, telephone or e-mail address provided on the entry form. Prize winners will have ten (10) business days to respond prior to the prize being sent. Prizes will be mailed to all winners. Prize Winners may be required to execute any further documents that may be required by Sponsor and all documents must be received fully-executed within three (3) business days of the date printed on the notification or the Prize Winner may be disqualified. In the event it is determine that a potential Prize Winner (including any band/group members, if applicable) has not complied with these Official Rules, the Sponsor is unable to contact a Prize Winner within a reasonable time period, the Prize Winner has failed to execute and return any required documents in the specified time period, or has made false statements, the Prize Winner will be disqualified and required to promptly return to the Sponsor the prize or its equivalent value in cash. If a Prize Winner is disqualified for any reason, at the Sponsor's sole discretion, another Entrant may be declared the winner of the related Prize, at the Sponsor's sole discretion.

PRIZES

Only one prize will be given for each of the Grand Prize and two Runners-Up. The Grand Prize shall consist of $5,000.00 and the two Runners-Up will receive a new iPad2 by Apple® or $500 cash prize, at the prize winner's discretion.

All federal and state taxes on prizes are the sole responsibility of the winners. No transfer, assignment, cash redemption, or substitution of a prize is permitted except that the Sponsor reserves the right, in its sole and absolute discretion, to substitute a prize (or portion of a prize) with a prize of comparable or greater value or cash value. In the event that a prize cannot be awarded for any reason or a winner is not capable of redeeming a prize for any reason, the Sponsor shall not be obligated to award such prize. If, for any reason, more than the stated number of prizes are available and/or claimed, the Sponsor reserves the right to award the prizes in such category among eligible Entrants in a manner to be determined by the Sponsor in its sole and absolute discretion.

GENERAL CONDITIONS FOR THE CONTEST

A Submission constitutes permission (except where prohibited by law) to use an Entrant's name, Video, likenesses, performances, prize won, photographs, statements and biographical information (all at the Sponsor's sole discretion) for future advertising, publicity and other purposes. By entering the Contest and/or accepting a prize, each Entrant (for himself/herself and his/her heirs) hereby releases the Sponsor and its parents, subsidiaries, affiliates, advertising and Contest agencies, and all of their respective directors, officers, governors, employees, shareholders, members and agents (collectively, the "Releasees") from any and all liability, loss, harm, damage, cost, expense, or claims including, but not limited to, third party claims based on: (i) publicity and/or privacy rights, defamation, infringement of intellectual property rights, any Submission or Video submitted by the Entrant, redemption of any prize in connection with the Contest, and/or use or misuse of any prize in connection with the Contest, , property damage, personal injury, and/or death; (ii) anything related to the Contest, or execution of the Contest (or participation therein) preemption, cancellation, or rescheduling; and (iii) anything that may occur in connection with acceptance and/or use of the prizes or while participating in the Contest, even if any of the foregoing is caused or contributed to by the negligence of any Releasee.

Neither the Sponsor nor any other Releasee shall be responsible for non-conforming, lost, late, stolen, misdirected, illegible, altered, garbled, delayed, undelivered or incomplete Submissions, Videos or votes, all of which shall be void. Releasees are also not responsible for problems uploading or downloading any Submission or other Contest related information or materials from websites or for any other technical malfunctions of electronic equipment, computer online systems, servers, or providers, computer hardware or software failures, phone lines, failure of any Submission to be received by Sponsor on account of technical problems, traffic, congestion on the internet or the websites, or for any other technical problems including telecommunication, miscommunication or failure, and failed, lost, delayed, incomplete, garbled or misdirected communications which may limit a person's ability to participate in the Contest. Releasees are not responsible for any other errors or malfunctions of any kind, whether network, printing, typographical, human or otherwise relating to or in connection with the Contest, including, without limitation, errors or malfunctions that may occur in connection with the administration of the Contest, the processing or judging of Submissions, the cancellation or postponement of any recordings or other events, the tabulating of votes, the incorrect uploading of Videos, the announcement of prizes or in any Contest-related materials. Sponsor reserves the right to terminate the Contest for any reason, including in the event it becomes infected by a computer virus or is otherwise technically impaired, and to cancel orsuspend the Contest in its entirety should tampering, unauthorized intervention, fraud, technical failures or other causes corrupt the administration, security, fairness, integrity or proper conduct of the Contest and, if terminated, at Sponsor's sole discretion, (i) to determine the Grand Prize winner for the Contest from among all non-suspect eligible Submissions received up to the time of termination using the criteria outlined above. In the event of a dispute regarding online Submissions received from multiple users having the same e-mail account, the authorized subscriber of the e-mail account at the time of Submission will be deemed to be the Entrant and must comply with these Official Rules. Such authorized subscriber shall be the natural person who is assigned the e-mail address by the Internet Service Provider (ISP), online service provider, or other organization responsible for assigning e-mail addresses. Sponsor reserves the right at its sole discretion to disqualify any individual it finds to be tampering with the participation process or the operation of this Contest on or any website (including the Sponsor's website) intending to annoy, abuse, threaten or harass any other Entrant, person, Sponsor or any of its representatives or to otherwise be acting in violation of these Official Rules and void all associated Submissions and/or votes, as applicable. Neither the Sponsor, nor any other Releasee shall be responsible for any incorrect or inaccurate information, whether caused by the Sponsor, any Releasee, or any Entrant, tampering, or by any of the equipment or programming associated with or utilized in the Contest, and neither the Sponsor, nor any Releasee shall assume responsibility for any error, omission, defect, theft, destruction, or unauthorized access to the materials related to the Contest, or for any damage to the Entrant's computer related to or resulting from participating in the Contest. The Sponsor reserves the right, in its sole and absolute discretion, to disqualify any individual found to be tampering with the entry process, the voting process, or the operation of the Contest; to be acting in violation of these Official Rules; or to be acting in a non-sportsmanlike or disruptive manner; or with intent or apparent intent to annoy, abuse, threaten, embarrass, harm, or harass, in any way, any other person. If for any reason the Contest is not capable of running as planned by reason of, but not limited to, business or market circumstances, force majeure, public health concerns, tampering, unauthorized intervention, actions by Entrants, fraud, or any other causes that the Sponsor, in its sole and absolute discretion, deems could corrupt or affect the administration, security, fairness, integrity, or proper conduct of the Contest, the Sponsor reserves the right, in its sole and absolute discretion, to cancel, terminate, modify, or suspend the Contest or any portion thereof by posting a notice on the Sponsor's website. If the Contest or any portion of the Contest is terminated before the end of the Contest Period or the Voting Period, the Sponsor will select the prize winners from all eligible entries received as of the termination date of the Contest.

MISCELLANEOUS CONDITIONS

Non-compliance with these Official Rules shall result in disqualification from the Contest. An Entrant is not a winner until he/she has fully complied with these Official Rules. Entrants hereby waive any right to claim ambiguity in these Official Rules. Sponsor reserves the right to permanently disqualify any person it believes has intentionally violated these Official Rules and void all associated Submissions and votes. This Contest will be administered in the State of California, and by participating, all Entrants hereby agree that the laws of the State of California will apply exclusively to the Contest and that any dispute with respect to this Contest will be resolved in either the federal or state courts located in the State of California.

RELEASES

IN NO EVENT WILL THE SPONSOR OR ANY RELEASEE BE RESPONSIBLE OR LIABLE FOR ANY INJURIES, CLAIMS, ACTIONS, DAMAGES, LOSSES, OR LIABILITY OF ANY KIND, INCLUDING, BUT NOT LIMITED TO, DIRECT, INDIRECTIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES RESULTING FROM OR ARISING FROM PARTICIPATION IN, OR THE PRODUCTION, CONTEST, OR ADMINISTRATION OF, THE CONTEST, OR ACCEPTANCE, POSSESSION, USE, MISUSE, OR NONUSE OF A PRIZE THAT MAY BE AWARDED. WITHOUT LIMITING THE FOREGOING, ALL PRIZES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. SOME JURISDICTIONS MAY NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES OR EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU. CHECK YOUR LOCAL LAWS FOR ANY RESTRICTIONS OR LIMITATIONS REGARDING THESE LIMITATIONS OR EXCLUSIONS. ANY ATTEMPT BY AN ENTRANT OR ANY OTHER INDIVIDUAL TO DELIBERATELY UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST IS A VIOLATION OF CRIMINAL AND CIVIL LAWS, AND SHOULD ANY SUCH ATTEMPT BE MADE, THE SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW.
